Boeing Strikes $4.7 Billion Deal For Spirit AeroSystems

Boeing will reverse the 2005 spin-off of this critical division and will need to stabilize production at multiple facilities.
Boeing has reached an agreement to bring Spirit AeroSystems back under its control, after spinning off the critical contributor to its supply chain in 2025. The deal is an all-stock transaction of $4.7 billion, $37.25 per share. The total transaction value of the acquisition, including Spirit AeroSystems net debt, is $8.3 billion.
“We believe this deal is in the best interest of the flying public, our airline customers, the employees of Spirit and Boeing, our shareholders and the country more broadly,” said Boeing President and CEO Dave Calhoun in a company statement on the transaction. “By reintegrating Spirit, we can fully align our commercial production systems, including our Safety and Quality Management Systems, and our workforce to the same priorities, incentives and outcomes – centered on safety and quality.”
In March, during a presentation at the Bank of America Global Industrial Conference, Boeing’s Chief Financial Officer, Brian J. West said, “Reintegrating these two companies is what’s best for safety and for quality for the aerospace industry.” He cited Calhoun as saying that “Boeing, more than 20 years ago, probably got a little too far ahead of itself on the topic of outsourcing,” with Spirit AeroSystems being the prime example.
