Alstom, Siemens sign rail deal to create European champion

German industrial group Siemens AG (SIEGn. DE) and French rival Alstom SA (ALSO. PA) agreed on Tuesday to merge their rail operations, creating a European champion to better withstand the international advance of China’s state-owned CRRC Corp Ltd (601766. SS).

Siemens will own 50 percent plus a few shares of the joint venture, while Alstom will supply Henri Poupart-Lafarge as chief executive, helping to counter criticism that France is giving up control of another national industrial icon.
The non-executive chairman will come from Siemens.
The framework deal, which still has to be approved by Alstom shareholders as well as regulators, is a Franco-German industrial breakthrough for French President Emmanuel Macron but a move that has riled opposition politicians.
Finance Minister Bruno Le Maire said on Tuesday the French government welcomed the planned tie-up, which he said would protect French jobs.
The French state said it would not exercise an option to buy a 20 percent stake in Alstom from industrial group Bouygues SA ( BOUY. PA).
The Siemens and Alstom transport businesses span the iconic French TGV and German ICE high-speed trains as well as signalling and rail technology. They have combined sales of 15.3 billion euros ($18 billion) and earnings before interest and tax of 1.2 billion euros.
“This Franco-German merger of equals sends a strong signal in many ways. We put the European idea to work and together with our friends at Alstom, we are creating a new European champion in the rail industry for the long term,” said Siemens CEO Joe Kaeser.
Alstom’s Poupart-Lafarge said: “Today is a key moment in Alstom’s history, confirming its position as the platform for the rail sector consolidation.”
The deal leaves out in the cold Canadian transportation group Bombardier Inc ( BBDb. TO), which also held talks with Siemens, sources have said, and which faces a separate battle this week to protect jobs in Quebec and Northern Ireland.
China’s CRRC, with annual revenue of about $35 billion, is bigger than Siemens Mobility, Alstom and Bombardier Transportation combined.
Previously focused on China, it has won projects in Britain and the Czech Republic in the past year, and is eyeing the United Kingdom’s High Speed 2 project, which will connect London with cities in the north of England. SPECIAL DIVIDENDS
Siemens will receive newly issued shares in the combined company representing 50 percent of Alstom’s share capital and warrants allowing it eventually to acquire another 2 percent of Alstom shares.
However, the deal prevents Siemens from owning more than 50.5 percent of Alstom for four years after closing, and includes “certain governance and organizational and employment protections”, Siemens and Alstom said in their statement.
The deal is unanimously supported by Alstom’s board, Siemens’ supervisory board and Alstom shareholder Bouygues, the companies said.
The French government acquired its option on the Bouygues stake in Alstom in 2014 as part of a deal that helped Alstom snub Siemens as a buyer for its energy business in favour of General Electric Co ( GE. N).
Macron was economy minister at the time.
The global headquarters, rolling stock business and stock-market listing of the new entity, to be called Siemens Alstom, will be in Paris and the signalling and technology business in Berlin.
The new company, with 62,300 employees, targets synergies of 470 million euros four years at the latest after closing of the deal, which is expected at the end of 2018.
The companies said their operations were largely complementary, with Alstom present in growth markets in the Middle East and Africa, India, and Central and South America, while Siemens was strong in China, the United States and Russia.
Siemens CEO Kaeser said ahead of the signing of the memorandum of understanding he believed the scale of China’s CRRC left little room for regulators to oppose a deal.
“It always depends, but the facts are that there is a dominant player,” he told Reuters in an interview in New York.
Siemens stands to gain control of Alstom’s main business, since all of Alstom’s divisions deal with the railways and transportation industries.
Existing Alstom shareholders will be paid two special dividends: a control premium of 4 euros per share to be paid shortly after closing of the transaction and an extraordinary dividend of up to 4 euros per share to be paid out of the proceeds of Alstom’s put options for its General Electric joint venture, “subject to the cash position of Alstom”. SIGNS OF BACKLASH
While the French government backs the deal, several opposition politicians and French trade union activists expressed concerns.
Their worries centre on France losing control of its TGV high-speed train – a symbol of national pride that has highlighted French engineering skill – and possible job losses.
French right-wing politician Nicolas Dupont-Aignan criticised the deal as being more favourable to Germany than France, as did far-right politician Nicolas Bay, the National Front’s secretary general, who said on Twitter that it could result in the “eradication of French industry”.
Eric Woerth, a member of the right-wing Republicans’ party, voiced similar views on his Twitter account.
“Is this now the end of Alstom? Will TGV become German? Why does the government accept such an imbalance?”
A branch of the CFDT trade union representing Alstom workers wrote on Twitter: “Macron abandoned Alstom to GE and he’s now abandoning them to Siemens.” Macron served as economy minister for two years from August 2014.
Analysts at Exane BNP Paribas raised their rating on Alstom to “neutral” from “underweight” noting a deal offered better growth prospects than remaining a standalone company.
“We suggest that, if they participate, value creation would be limited for Siemens but material for Alstom,” the Exane BNP Paribas analysts wrote.
“Aside from the M&A (mergers and acquisition) angle, we believe that commercially, this year will be relatively muted for Alstom. With no large contracts in sight, pressure on free cash flow should intensify due to lack of down payments received.”

Shots fired into Thomasville homes

„It just breaks my heart to see this type of thing happening to our neighborhood,“ said Ron Fowler, who’s grew up on Memorial Park Drive.
Now neighbors say they just want to feel safe in their own homes again.
One woman whose home was hit said it’s the type of story you always think will happen to someone else.
„And then, it happens to me. It lands right at my door, literally at my door,“ she said. She did not want to be identified or shown on camera.
At least a dozen gunshots flew by and hit both her and her neighbor’s homes around 11 p.m. Sunday.
„I heard something that sounded like firecrackers,“ the woman said. „So I was about to head to the door, and then my son comes out of his room and says, ‚Ma, that sounds like gunshots. Get down!'“
Several people were inside both homes when bullets flew through.
„I’m just glad nobody was hurt.“
The bullets shattered a glass window, piercing the front door. Other bullets hit the victim’s car and the side of her home.
Next door, one family member was sitting in a chair in the living room, when a bullet flew right over his head.
„It was just crazy. So many things went through my mind,“ the victim we talked to said. „Why would somebody want to do this? You know, I don’t bother anybody. I just don’t understand. Why is this happening in so many neighborhoods?“
It’s the same question people down the road want answered.
„It shocked me,“ Folwer said. He and his wife both slept through the shooting next door.
„It’s a shame that goes on in this neighborhood,“ he added.
His message was echoed in several 911 calls that came in to Davidson County dispatcher.
„I’ve lived here for nine years, and I haven’t seen anything like this. I don’t know what’s going on,“ said one person in a 911 call.
These neighbors all believe someone knows why one home was targeted and they hope that person will come forward.
„I want to tell whoever it is, put down the guns, you know?“ the victim said. „Let’s talk about it. Let’s find out whatever’s going on in your life that’s causing you to behave this way.“
Police say the suspect drove up on a moped or scooter with a loud muffler. Witnesses told police the suspects turned off the engine before firing at the two homes.
They were then seen starting up the moped or scooter and driving off south on Memorial Park Drive toward Main Street.

За його словами, експерти будуть робити висновки з точки зору наявних стандартів, а оцінку Ради Європи варто очікувати через кілька місяців.
Так, Кулеба пояснив, що закон не планує дискримінувати жодну меншість. Крім того, у підготовці також брали участь експерти Ради Європи.
„Потрібно чітко розуміти, наших партнерів повністю задовольняло становище, яке існувало до прийняття цього закону. Тому в яку сторону ми б його не чіпали, вони все одно були б категорично незадоволені“, – резюмував Кулеба.

GOP lawmakers said they felt that the meeting was productive, telling reporters that it allowed their Democratic colleagues to ask questions and discuss where they can find common ground.
“I think the president is asking for help and he laid out the vision, so we’ll see,” Republican Rep. Jim Renacci of Ohio told The Daily Caller News Foundation. “I think Republicans and Democrats agree we’ve got to reduce corporate tax rates. I think they also realize we’ve got to cut taxes on the middle class.”
GOP Rep. Mike Kelly of Pennsylvania said that, while Democrats initially seemed skeptical, the president assured them he isn’t aiming to put forward a plan aimed at prioritizing cuts for high-income earners.
“He said, ‘Hey listen. I have a lot of wealthy friends and they tell me don’t worry about us, let’s worry about people who haven’t had a raise in so many years — it’s really about people who’ve seen their wages frozen, let’s make sure they have more take-home pay,’” Kelly said. “I just think they didn’t expect that. “
Democratic Rep. Linda Sanchez of California said she’s hopeful bipartisan tax reform is possible, but isn’t getting her hopes up.
“He kept talking about this great bipartisan effort with what they are unveiling tomorrow, but what they are unveiling is basically what the Republicans have been working on, because we’ve been excluded from those discussions,” she told reporters. “I mean, that was the first time we’d ever sat in a room and had a discussion with and an equal number of Rs and Ds.”
Sanchez said she expects the bill will go through committee, but will likely be passed out of the House along party lines.
Texas Democratic Rep. Lloyd Doggett was more pessimistic about the possibility of passing legislation both parties feel comfortable supporting, arguing they should have been brought into the conversation earlier.
“Trump asked for Democrats to jump on the caboose after the tax train has already left the station,” he said in a statement. “I saw no Democrat ready to jump on board.”
House Ways and Means Chairman Kevin Brady asserted that the meeting does not signal Republicans are putting a backup plan in place in the event that they fail to pass a conservative tax reform bill.
“It’s a recognition that President Reagan’s reforms were ultimately bipartisan, not necessarily every step of the way,” he told reporters. “It’s a recognition that all communities are suffering and America is falling behind the rest of the world in every city, every county, and every neighborhood. So he encouraged us to work together to find common ground.”

Scotty McCreery proposes to longtime girlfriend

RALEIGH, N. C. (WRAL-NBC) — Country music star and Garner native Scotty McCreery is engaged.
RALEIGH, N. C. (WRAL-NBC) — Country music star and Garner native Scotty McCreery is engaged.
McCreery popped the question to his longtime girlfriend, Gabi Dugal, near Grandfather Mountain, one of their favorite places.
“I’ve been planning this moment for so long that it feels surreal for it to have finally happened,” said an overjoyed McCreery. “Gabi is the perfect girl and my true love, and I cannot wait to begin building our life together as husband and wife.”
Dugal is a graduate of the UNC-Chapel Hill and currently works as a pediatric cardiac nurse at Duke University Hospital.
The couple met in kindergarten in Garner. They plan to wed in 2018.

Trzy osoby, w tym dwaj policjanci, są ranne po strzelaninie, do której doszło we wtorkowy wieczór w Inowrocławiu – powiedział PAP rzecznik KGP mł. insp. Mariusz Ciarka. W mieście miało dojść do wymiany ognia między funkcjonariuszami CBŚP, a przestępcami.
Jak poinformowało radio RMF FM, do strzelaniny miało dojść ok. godziny 20. nieopodal ulicy Marii Skłodowskiej-Curie. Teren ten jest zabezpieczony przez radiowozy policji, a samo miejsce, gdzie doszło do wymiany ognia, odgrodzone.
„Mogę potwierdzić, że dwóch policjantów i przestępca zostało rannych. Są oni zabrani do szpitala. Skupiamy się na udzieleniu im pierwszej pomocy i zabezpieczeniu śladów związanych z tym zdarzeniem“ – powiedział PAP rzecznik KGP.
Informacje KGP potwierdza też rzeczniczka CBŚP kom. Iwona Jurkiewicz. „Przestępca strzelał do policjantów raniąc ich. Ich obrażenia są diagnozowane. Najważniejsze jest, żeby jak najszybciej doszli do zdrowia“ – wskazała Jurkiewicz. Podkreśliła, że nie może udzielić więcej informacji, gdyż trzeba pozwolić śledczym wykonać szereg czynności. „Nie mogę na razie powiedzieć, z jaką sprawą ma związek to zdarzenie“ – dodała.
Rzecznik Komendy Wojewódzkiej Policji w Bydgoszczy Monika Chlebicz oraz rzecznik Komendy Powiatowej Policji w Inowrocławiu Izabella Drobniecka nie udzielają informacji w tej sprawie. Nieoficjalnie udało się ustalić PAP, że w wyniku strzelaniny nie ucierpieli funkcjonariusze podlegli Komendzie Wojewódzkiej Policji, a także, że to nie ona prowadziła działania.
Osiedle Toruńskie, obok którego miała miejsce strzelanina, to jedno z pierwszych zwartych zabudowań w Inowrocławiu od strony Torunia. Z relacji świadków wynika, że nad miastem nadal krąży policyjny helikopter. (PAP)

Windows 10 for PCs build 16296 now available in the Slow ring

As we draw closer to the launch of the Fall Creators Update, Microsoft is rapidly pushing builds. Just 4 days after pushing Build 16296 to the Fast Ring, it is now available on the Slow ring.
As Microsoft starts preparing for the launch of the Fall Creators Update in just 20 more days, it’s rapidly increasing the cadence at which new builds are pushed out to Insiders and in the same week that Build 16296 was pushed to the Fast ring, Microsoft has now made it available to Insiders on the Slow ring, signifying that these builds are increasingly stable and nearly ready for release.
To recap, as Microsoft now has its sights on RTM, no new features have been added but a round of polishing up the code has yielded the following fixes to the OS:
