To Pay for Syngenta, ChemChina Looks to Beijing for Help

Chinese banks and asset managers have stepped up to help complete the largest-ever foreign takeover by a Chinese company.
ChemChina has created a new strain of buyout funding. The Chinese giant is refinancing some debt backing its $44 billion purchase of Syngenta, the Swiss agribusiness company. The result looks like acquisition financing crossbred with government policy.
The deal, China’s largest foreign takeover ever, is nearing completion after more than 15 stressful months during which its success often looked in doubt. While ChemChina quickly amassed huge bridge loans so it could pay Syngenta stockholders, it was less obvious what the longer-term funding structure would look like. The deal-hungry buyer already had a stretched balance sheet, limiting its own ability to contribute equity.
United States regulatory filings now provide a partial answer to that question — and an unconventional answer at that. The buyer is supplying $5 billion of equity, equating to roughly 11 percent of Syngenta’s value. For a conventional Western private equity deal, that would be far too thin a sliver for lenders or regulators — but then, this deal is effectively backed by the People’s Republic of China.
As for the remainder, ChemChina will hold on to about $19.3 billion of existing debt for now, and borrow $2 billion through new notes via Morgan Stanley. The rest will be supplied by the Bank of China, the asset manager China Reform and Industrial Bank, which have bought perpetual bonds worth $10 billion, $7 billion and $1 billion respectively.
Given their indefinite life span, these bonds look rather like equity; it is also not clear how likely they are to pay regular coupons.
The cost of all this perpetual debt is not disclosed, but this may well be cheaper than actual equity for the borrower, and lets ChemChina keep control of Syngenta to boot. It is harder to see the appeal for the buyers. These are big exposures, even for large public sector institutions. Over all, it appears that the state, which is reportedly also contemplating a bigger tie-up between ChemChina and rival Sinochem, has prodded three of its wards into supporting a fourth to nail down a strategically important deal. No wonder, since China wants Syngenta’s crop technology very badly. This is corporate finance with Chinese characteristics.

Jumping to Indy, Fernando Alonso Says It’s ‘Part of the Adventure’

Alonso, winner of 32 Formula One races and two championships, will drive in the Indianapolis 500 for the first time. It’s time, one racer said, to “watch your back.”
Fernando Alonso grew up in the 1990s in Spain, which then loved soccer and motorcycle racing above all other sports. So he did not see his first Indianapolis 500 until 2000, when he sat in his motor home at a Formula 3000 event in Monaco and watched Juan Pablo Montoya win at Indy.
“I didn’ t get it, ” Alonso, smiling, said this week in an interview in New York.
Alonso, then 18, had so many questions: What was it like to race on an oval instead of a road course? What skills did it take? How could the driver possibly make a difference? The enormous spectacle at Indianapolis Motor Speedway on race day was especially intriguing.
“It was a huge event around the race, ” he said. “When you watch on TV, you see the grandstands. You see how many people are up there in that moment. It looks huge when I saw it for the first time.”
Alonso, 35, has had a successful career in Formula One, winning 32 races over all and the championship in 2005 and 2006. He does not need an Indy 500 victory to burnish his reputation. But instead of spending this weekend at the Monaco Grand Prix, Alonso on Sunday will drive for the first time in the Indy 500 because he is a racer, and racers love challenges.
Alonso’s presence has certainly sparked interest in the race and the series. Mark Miles, the chief executive for Hulman & Company, which owns Indianapolis Motor Speedway and the IndyCar Series, said 2.2 million unique viewers had seen the web-streaming coverage of Alonso’s test at the speedway this month.
“It has been a sensational opportunity for more people, particularly in Europe, to pay more attention to the series, ” Miles said in a telephone interview.
Alonso, who is to start fifth in the 33-car field in a Honda owned by Michael Andretti, has also been re-energized. Zak Brown, the executive director of the McLaren Technology Group, who helped get Alonso to Indy, said, “It’s every bit as cool, if not cooler, than he thought it would be.”
Marco Andretti, Michael’s son, who is to start eighth, immediately behind Alonso in the 11-row grid, said: “He’s been a fun teammate to have, very involved, very forthcoming. One thing I’ ve noticed about Formula One is that you have to watch your back. Over here you work together a lot more. You don’ t have to sleep with one eye open.”
The Indy 500 and the 24 Hours of Le Mans had been on Alonso’s bucket list for some time. Alonso has not won a Formula One race in four years, and his McLaren-Honda car has run poorly lately, if it runs at all. His perspective has changed.
“If one driver can win Formula One, Indy 500 and Le Mans, you can prove you can adapt to any driving style in the world and be competitive against each of the specialists in that area, ” he said. “To move a little out of the comfort zone was attractive as well.”
Only Graham Hill of England has won the unofficial triple crown of motorsport: the Indy 500, the 24 Hours of Le Mans and the Monaco Grand Prix, which Alonso has won twice.
Alonso said that a few years ago, Oriol Servia, a Spanish driver who has competed in eight Indy 500s, had asked him if he would one day try racing on an oval.
“I’ m not interested now, ” Alonso said he had told Servia. “Too focused on F1.”
But McLaren continued to scuffle in Formula One this season, and Brown mentioned to Alonso that McLaren was interested in other racing ventures in North America. Bruce McLaren Motor Racing had won the Indy 500 twice — with Johnny Rutherford in 1974 and 1976.
“I said, ‘You know, I was thinking the same,’ ” Alonso said. “After my F1 career, I try a different series and try to be a complete driver, but not just a specialist in Formula One. I love racing. Any series.”
Brown called Miles and told him that Alonso was interested in racing in the Indy 500, but only for a competitive team. Miles called three teams, but none had a car for Alonso. Then Miles mentioned his predicament, without revealing Alonso’s name, to Stefan Wilson.
Wilson, a 27-year-old British driver who ran in his first Indy 500 last year, was scheduled to compete for Andretti Autosport at Indy. Wilson’s older brother, Justin, a Formula One and Indy-car driver, was killed in a 2015 race. Miles said Wilson had given up the ride, in part, because his family planned to move to Colorado to be closer to Justin’s widow, Julia.
After sleeping on the idea, Alonso decided to skip the Monaco race for Indy.
“We were not fighting for the world championship, and we were underperforming with the engine we have, ” Alonso said. “I do not have high expectations, but if I am able to drive the car I never had even tested, the experience, maybe it’s nice.”
Wilson plans to return to the Indy 500 in 2018, so this ride is strictly a one-off for Alonso, who said he planned to concentrate fully on Formula One next year.
But Miles made it clear that Alonso had been serious about this venture, hopping from his Formula One responsibilities to North America to observe races and drive in a race simulator.
“He’s doing this to win the race, ” Miles said.
Brown said: “He knows Indy can bite at any moment. He’s very respectful.”
Alonso acknowledged that his lack of experience was his biggest concern.
“But I’ m here to learn, ” he said. “I’ m here to discover everything. That’s part of the adventure.”
Alexander Rossi, a rookie who came over from Formula One, won the Indy 500 last year .
Rossi, another Andretti Autosport driver, said of Alonso: “It’s been pretty cool to work with him and see how he goes through the process, a new skill set. I knew he was going to be quick — there was never a question about it. He’s adapted very well to it.”
Through nearly 500 practice laps — no two the same, he said — Alonso has learned how to guide his racecar through left-hand turns, knots of traffic and the capricious Indiana winds. All that remains is to get through what he said would be the longest race of his career. This time, he said, much of Spain will be watching.
“I don’ t know the tactics, the little tricks you can put together at the end of the race, ” he said, “but I will try to drive as fast as possible, try to use my intuition in what I do in each moment.
“I know it may happen that I’ m missing the experience in crucial moments of the race, ” he continued. “But this race is unpredictable. That little chance you have of winning keeps your motivation all week long and all race long.”

T-Mobile rolled out DIGITS in beta late last year and is finally making it available to all its customers on May 31. DIGITS will let you use one phone number over multiple supported devices.
Next Wednesday, on May 31st, all T-Mobile phone numbers will be upgraded to become what T-Mobile terms, DIGITS, following a beta test which involved thousands of people. Customers will be able to use their DIGITS on any connected device – phone, tablet, smartwatch, computer and more, meaning you won’ t have to have multiple numbers across devices.
Those who want to, will be able to get an additional DIGITS line for an extra $10 per month with AutoPay.
Commenting on the news, John Legere, president and CEO of T-Mobile, said:

Відповідне рішення оприлюднив прем’ єр-міністр України Володимир Гройсман в ході позачергового засідання уряду.
Глава Уряду нагадав, що до співбесіди з членами Уряду були допущені 12 кандидатів.
“Ми провели співбесіди з 11 кандидатами з 12, оскільки один з кандидатів не вийшов на зв’ язок протягом тижня, але матеріали про нього були і ми могли з ними ознайомитися, — повідомив Глава Уряду. — На позачерговому засіданні Уряду, ми дійшли згоди, що кандидатурою (на посаду аудитора НАБУ по урядовій квоті) може стати Буроменський Михайло Всеволодович, ” — заявив Гройсман.
Відповідне рішення Уряду ухвалено, і протягом трьох днів воно буде оформлено Міністерством юстиції.
“Роботу з відбору (аудитора) на цьому ми завершуємо. Однак аудит НАБУ відбуватиметься щорічно. І наступного року ми маємо провести аналогічну процедуру і надалі ефективно підтримувати всі органи, робота яких спрямована на боротьбу з корупцією, ” — додав Гройсман.

The Best ERP Software for 2017

We test and compare nine leading enterprise resource planning (ERP) solutions that can help your business manage its resources and optimize performance, efficiency, and productivity.
Previously, we reviewed 10 enterprise-level general ledger accounting software solutions. And, while financial accounting is certainly a critical component of any company’s software suite, many enterprise-rated organizations will have business process needs that warrant moving up to enterprise resource planning (ERP) software. Fortunately, almost all of the accounting vendors we reviewed earlier are also capable of extending their product platforms to full ERP functionality.
These suites are designed in a modular fashion for the most part, which means you can purchase only the features your organization needs. Plus, the suites are squarely aimed at the small to midsize enterprise (SME) market. Typically, we review products that are aimed either at small to midsize businesses (SMBs) or enterprise organizations. The SME designator is less an indication of size than of the complexity of the business. To make an investment in ERP software worthwhile, a business has to have a need for custom business processes, multinational commerce, or fairly complex manufacturing or supply chain requirements. That’s where SMEs become the better indicator rather than SMBs. A SME organization can still be roughly the same size as a high-end SMB (figure SMEs will typically grow between 100 and 1,000 employees) , but it’s a business with enough complexity and high-end requirements as to make ERP a good investment.
ERP generally describes a modular software solution that incorporates the financial side of the business and then adds closely integrated app modules that address other areas of the business, including customer relationship management (CRM) , supply chain management (logistics) , business intelligence (BI) , Materials Resource Management (MRP) , which includes capabilities such as Just-in-Time (JIT) Inventory, point of sale (POS) , fixed asset management, and even project management.
In essence, ERP is a systemic approach to managing the entire enterprise, not just its finances. And, by integrating all of these modules into a single, cohesive whole, customers can gain new insights and create new processes that weren’t possible using separate tools.
For example, most ERP systems also enhance accounting and overall management by adding features or capabilities to enhance a basic payroll tool into a more comprehensive human resources (HR) management framework, or to expand inventory management to more closely adapt to the specific type of business the customer operates, such as companies that center around warehousing or distribution.
When looking at a company’s management information systems portfolio, it’s sometimes not obvious that a generic app may not be the best approach. A good example of this is payroll. The payroll for a service organization, for instance, incorporates time and billing and possibly expense management; it’s considerably different from the payroll that should be used for a food and hospitality organization, which requires that the company track employee tips. And that’s very different from payroll for a construction company, which often requires multiple rates for the same employee depending on what job they’re performing (and also has to report to multiple unions) .
Inventory is another area in which needed functionality differs depending on the type of business. For example, the inventory for a manufacturing company might require component tracking using bar codes to identify parts bins as well as Bill of Materials Processing (BOMP) that provides a list of all the parts and subassemblies needed to construct a particular product, or even Kitting, which consists of inventorying and tracking subassemblies rather than discrete parts.
The point is, because ERP platforms are (a) modular and (b) so broad in terms of the situations they address and the features they provide, the planning process for choosing the right ERP solution begins at home—long before you actually speak to a vendor. You need to start your selection process by sitting down with the front-line managers of all your key business processes, and mapping out exactly how your company does business. Exactly how do your web customers go from a credit card transaction to a shipping box arriving at their front door? How are payments processed, orders fulfilled, warehouses managed, inventory moved and tracked, and shipping orders picked up and delivered? How is all of this information used to provide ongoing BI for the organization? What kinds of information aren’t you getting that you really need? The list of appropriate questions will get much deeper in the real world and extend far beyond the typical IT questions that get asked before installing SMB software (such as servers required, per seat licensing costs, etc.) , though those questions still apply to ERP as well.
The reason you need to get a comprehensive understanding of how your company does business is because ERP systems not only run the gamut of business process features (as discussed earlier) but they also provide varying degrees of integration between their various modules. With standard SMB software, it’s rare to find direct feature synergies between warehouse management and the HR framework, for example. But with an ERP system, not only can that be possible but you can also tweak that integration to work even more effectively for your organization. For specialty warehouses that store specialized inventory (like dangerous chemicals, for example) , your HR system can automatically kick in its shift-management capabilities to make sure that, when such chemicals arrive at a particular warehouse, the right staffers who have the skills necessary to handle those chemicals are there to receive and store them.
That’s just one example out of myriad possibilities. What’s possible for your organization is entirely dependent on the capabilities of the ERP platform and how well you understand how your business really runs.
In our initial review of the software suites, we looked at the financial side, concentrating on the general ledger and examining overall usability, navigation, and workflow. In this cycle, we went back to each vendor’s offering and examined it for overall ERP functionality and the availability of modules that enhance the financial management aspects of the system (and extend it into other areas of enterprise operations) .
In doing so, we made some changes in the vendors and products covered. In the initial set of financial accounting reviews, we included both Intacct and Intuit QuickBooks Online Plus. Neither of these has a true ERP edition so we excluded them from this round of reviews.
ERP has been around as a software category since the late 1990s. In that time, it’s evolved in a number of important ways, most notably that many have become cloud-enabled. The benefit to customers here boils down primarily to cost and scalability.
Because ERP systems are modular, traditional ERP systems often required multiple servers to fully function. There may be one server for the financial module, one for the back-end database, one for the inventory management system, and so on. Now tack on redundant servers for reliability and increased performance and you’re soon looking at a hardware and infrastructure price tag that can exceed the cost of the software. To market this technology effectively to SME customers, vendors are using the cloud to power their solutions and the Software-as-a-Service (SaaS) model to deploy it.
That means customers have very little (often zero) upfront hardware costs—all of the servers are in the cloud. That can be a huge reduction in overall total cost of ownership (TCO) of an ERP solution. But, as an added bonus, this deployment model also allows for immediate and highly cost-effective scalability. If your business runs a web retail operation, it might opt for an e-commerce module in its ERP solution. But during the holiday season, traffic through the e-commerce system might spike. In a traditional infrastructure setup, that company would need to purchase extra servers and configure them as redundant clusters to handle that increased traffic. Then, when the holidays are over, those servers would simply be shut off and the company would have to eat the cost of an unused hardware investment. Via the cloud, customers can simply spin up new servers in the cloud to handle this increased load, pay for use only during the holiday period, and then dissolve them once the holidays are over (thus paying only for what they need when they need it) .
A final cloud benefit is licensing cost. In an on-premises model, your company would pay for an initial setup fee and the «X» dollars (usually between $1,000 and $5,000) per user or seat. That license would extend and generally last until the software was significantly upgraded. In a cloud model, the initial setup fee either doesn’t exist or is typically much smaller, and the licensing costs are assessed at «X» dollars per user per month (typically anywhere from $90 per user per month up to $500 per user per month) . For those who carefully do their math, this type of subscription-based licensing can be significantly cheaper than a traditional on-premises, per-seat scheme.
One area in which you likely won’t save money over standard on-premises ERP deployment is the third-party partner. Most of the vendors we tested require (or at least strongly suggest) that you purchase and implement their software by using a third-party, value-add partner. This entity will manage the purchase, the initial deployment, and (most importantly) the initial configuration, which, for some of these platforms, can span several months up to a full year. That’s because it’s the partner who does the hands-on work of customizing these platforms so they work as they need to for your particular business. They interview those front-line business managers (if you haven’t already) , they do custom coding or scripting to build middleware connections between modules if the right ones don’t exist out of the box, they make sure the right features are switched off or locked down; and they handle ongoing maintenance, troubleshooting, and employee training. All of that costs significant additional dollars, which can certainly equal or even exceed the cost of the software, depending on how you’re paying for it. So, make sure that (a) you really need a third-party partner to set up your software, and (b) you get an accurate estimate of what their services are going to cost you.
The lesson is clear: Do your homework before attempting to evaluate any ERP system. Chances are you’ll work with a reseller to manage the fit between your company and the software. But the better you understand how your company operates and where the potential bottlenecks and problem areas in an implementation will be, the smoother the process will go. The smoother the process, the more effective the final installation will be.

Former Warner Music Group Chairman/CEO Edgar Bronfman Jr., who stepped down from the post in 2012 after selling the company to a group led by Russian billionaire Len Blavatnik ’s Access Industries, has always been a believer in the music industry, putting up his own fortune to prove it.
Now, the emergence of subscription streaming services has him even more optimistic about the recorded music industry’s future. Bronfman told CNBC’s “Squawk Box” that he favored a subscription or streaming model even in the 1980s and’ 90s “when we were selling albums.”

Bronfman acknowledged while each individual consumer may spend “a little bit less than fanatics who were buying albums, ” he insisted the new model “broadens the distribution base” and sets up the industry for future prosperity.
The most recent report from IFPI indicated the global music industry had a year-to-year gain of 6%, driven by streaming revenue growth of 60%. That’s the highest rate since the world organization began tracking revenue in 1997, with a total of 112 million of paid music streaming services.
Bronfman said the music industry was the first to deal with the disruption of unbundling content (allowing consumers to buy individual tracks instead of full albums) , which is currently “undoing a lot of the media business plans and business models.” Bronfman noted that music is “back to a healthy growth, ” even though he said there are still potential roadblocks.
“The artists do make more of their money on the road these days. Spotify complains that it pays too much to the content companies. And content companies aren’ t making a whole lot of money, ” he said, adding, “I think this is a fixed-cost model and until that subscription model grows further, it’s going to be tough to turn a lot of profits.”

Bronfman concluded by echoing one of the Recording Academy’s favorite lines in reiterating the power of the music industry’s enduring catalog of songs. “People think back and have a soundtrack to their lives. And songs mean stuff to people, ” he said. “In a way, it’s the most compelling consumer content.”
Earlier this year, Bronfman, who is currently Chairman of Endeavor, an international non-profit development organization that supports entrepreneurs, was reportedly involved in a group of investors, along with Meredith, Inc., kicking the tires on an acquisition of Time, Inc.

Украинский футболист, играющий за киевское «Динамо», получил приглашение сыграть за команду звезд футбола в товарищеском матче против мадридского «Атлетико», пишет NewsOne.
Стадион «Висенте Кальдерон», который на протяжении длительного времени был домашней ареной для «Атлетико», идет по снос. Поэтом было принято решение устроить с ним прощание, запланированное на 28 мая.
В этом году стадиону исполнился 51 год. Было принято решение провести на нем последний матч, на котором встретятся «Атлетико» и сборная звезд мира. Матч будет называться Final De Leyenda (Окончание Легенды) . Свое предварительное участие в нем подтвердили такие знаменитости, как обладатель «Золотого мяча-2005» бразилец Роналдиньо; его земляк, звезда 1980-х Зико, голландец Кларенс Зеедорф и другие выдающиеся игроки. По информации СМИ, приглашение получил и капитан киевского «Динамо» Андрей Ярмоленко.
Однако, есть проблема: 26 мая «Динамо» проводит матч чемпионата УПЛ против «Шахтера», а 31 мая – заключительный матч турнира против «Черноморца». Да, эти матчи уже не имеют турнирного значения («Динамо» уже никуда не денется с 2-го места в турнирной таблице) , но вообще-то профессиональный футболист должен находиться в клубе по ходу чемпионата, так как именно здесь ему платят деньги. Поэтому окончательное решение – за главным тренером команды Сергеем Ребровым. Хотя для престижа футболиста участие в таком матче очень привлекательно.
Как сообщал MIGnews.com.ua ранее, Ярмоленко признался, что хочет сменить «Динамо» на другой клуб .

LG extends support for bootlooping Nexus 5X, one law firm retracts its lawsuit

It was only a couple months ago that LG was hit with a class-action lawsuit. Now, it appears that the firm has extended the warranty on affected Nexus 5X, causing one of the lawsuits to be retracted.
It was only a couple months ago that a class-action lawsuit was lodged against LG for bootloop issues affecting the G4 and V10. A month later, the G5, V20, and Nexus 5X would also be included, putting the company in a tough spot. Luckily for LG, one of the law firms has dropped its lawsuit.
According to Android Police, Chimicles & Tikellis LLP filed a notice of voluntary dismissal at the top of the month on May 4th. The law firm explained that this was done because LG has decided to extend its warranty coverage on the Nexus 5X. In its continued support of the handset, LG will be offering repairs and in some cases, refunds.
While this gets LG out of the cross hairs of one law firm, there are still other suits pending, as far as what is known. If you are an owner of an affected Nexus 5X, be sure to reach out to LG support to see what your options may be.
LG has made big strides in 2017 with its latest handset, the G6. Although the firm has not published sales numbers for the device, the general response has been fairly positive.
